1. Parties, service and definitions
These Terms govern Veritas Ask, operated by MAŃSKI AI s.r.o., company ID 17571987, registered office Nové sady 988/2, Staré Brno, 602 00 Brno, Czech Republic, registered in section C, file 130587 of the Commercial Register maintained by the Regional Court in Brno (“we”, “Provider”). Contact: contact@veritasask.com; company website: https://www.manskiai.cz/.
“Customer” is the person or organisation contracting for the Service. “Authorised User” is a person permitted by the Customer to use its account or workspace. “Administrator” is an Authorised User with organisation administration rights. “Customer Content” means prompts, uploaded documents, instructions, workspace materials and resulting outputs held for the Customer. “Customer Data” includes Customer Content and associated account and service data. “Order” means an accepted plan purchase or a separately agreed order describing the Service, seats, term and charges. “Agreement” means the Order and the applicable documents identified below.
The Service provides professional AI for research, document analysis, drafting and decision support. The purchased plan determines available functions and usage limits. A roadmap, demonstration or proposed institutional configuration is not an ordered feature.
2. Formation, users and contract language
You must be at least 18 and legally capable of contracting. The Agreement is accepted by an express electronic acceptance in the account or ordering process, or by an agreed Order. The standard terms apply to the free Service when accepted; a paid Order starts when payment is confirmed or a written Order is accepted. The acceptance record identifies the Customer, acting user, time, contract language and accepted document versions. Keep the downloadable copy and confirmation. Simply visiting a public page is not acceptance.
An individual professional contracts for their own business activity. A person acting mainly outside their trade or profession is a consumer and retains the protections in section 13. An organisation is bound only through an authorised representative. Creating an account with a work email does not establish authority to bind an employer. Authorised Users act within their granted permissions; the organisation remains responsible for managing those permissions.
The contract language is Czech or English as identified in the accepted Order or acceptance record. The corresponding language version governs interpretation of that contract. Other interface languages do not alter it. Mandatory consumer information and protections in an applicable local language remain unaffected.
3. Documents and precedence
Mandatory law prevails. Next apply express lawful deviations in a negotiated agreement; the DPA and its standard schedules govern personal-data processing; the Enterprise and Institutional Terms supplement organisational use; these Terms govern the remaining relationship; the AI Usage & Transparency rules govern acceptable professional use. The Order controls the purchased scope and price. A general Order statement does not displace the DPA or the EU processing commitment without expressly identifying an agreed lawful departure.
For professional, business and institutional use, the Data Processing Addendum at https://www.veritasask.com/dpa, including its standard Schedules A–D and the versioned documents incorporated there, is incorporated by reference into this Agreement. By electronically accepting these Terms, the Customer also accepts that DPA in the version identified at acceptance, without a separate signature, countersignature, purchase threshold or individual negotiation. Its processing duties apply whenever and to the extent the Provider processes Personal Data on the Customer’s behalf. For organisation accounts, the accepting person confirms authority to bind the named organisation; a member cannot bind it merely by joining a workspace.
The standard schedules operate directly: the contracting identity is taken from the acceptance or Order record, and lawful data categories, subjects, purpose and frequency are determined by the Customer’s actual permitted use and documented configuration within Schedule A. There is no requirement to complete and sign a bespoke annex for ordinary SaaS use. An individually signed DPA or sector addendum is optional unless required by applicable law, the Customer’s procurement rules or an expressly requested different deployment. Such requirements do not make individual signature the default.
The Enterprise and Institutional Terms at https://www.veritasask.com/enterprise-terms are incorporated for organisational business and institutional accounts by the same acceptance. The Privacy and Cookie Policies are information notices, not blanket consent or amendments to the DPA. The accepted version is preserved; later website edits alone do not change it. Changes to the DPA and subprocessor register follow their stated notice, objection and amendment rules.
Incorporation of the DPA does not itself assert that a particular subprocessor exists. Subprocessors are determined from actual processing and DPA Schedule C; use of technology, independent controllers and suppliers without access to Personal Data are not equated with that category.
4. Accounts and organisational control
Provide accurate registration and billing details, protect credentials and report suspected unauthorised access promptly. Do not share personal credentials. Administrators allocate seats, roles and access to shared materials and must remove access when it is no longer authorised. An organisation’s content remains under its control when an individual leaves; a personal deletion request does not delete another controller’s workspace.
We implement server-side access checks for personal and organisation records. You must also configure the appropriate workspace, document permissions and available approval controls. These functions do not automatically establish your legal basis, professional authority or institutional approval.
5. Professional use and permitted data
Use the Service only for lawful purposes and material you may process and disclose to the relevant service providers. Personal data may be used where the Customer has a lawful basis, provides required notices and has the applicable DPA in place. Health data, other special categories, criminal-offence data and comparable restricted information additionally require the relevant legal condition or statutory authority, a documented risk assessment and an agreed controlled deployment. This applies to individual professionals as well as organisations; professional status alone is not an exemption.
Classified information, authentication secrets and data requiring a clearance or technical regime not supplied under the Agreement must not be submitted. Ordinary institutional approval does not authorise classified information. Processing by competent authorities for criminal-law purposes requires its own applicable statutory and contractual framework; a GDPR DPA does not by itself establish it. The AI Usage & Transparency rules further define permitted and restricted use.
6. Confidentiality and Customer Content
Each party must protect the other’s non-public commercial, professional, personal and technical information with at least reasonable care, use it only to perform or exercise rights under the Agreement, and disclose it only to persons who need access and are bound by confidentiality or an equivalent legal duty. This obligation includes Customer Content and continues after termination while the information remains confidential.
The obligation does not cover information lawfully public without breach, already lawfully known, independently developed without use of confidential information, or lawfully received without restriction. A party compelled by law to disclose must, unless prohibited, notify the other promptly, limit disclosure to what is required and reasonably assist protective measures. Public-sector publication and statutory access duties remain applicable; genuine trade secrets and personal data must be assessed before disclosure. Nothing waives a professional’s duties of secrecy or creates an absolute guarantee of legal privilege.
You retain your rights in Customer Content. You grant us only the limited rights necessary to host, process, transmit to authorised processors, generate outputs, support, secure and export or delete that content under the Agreement. We do not use Customer Content to train Veritas Ask. Inference, operational records and retention are separate processes described in the AI Usage and Privacy documents.
7. Intellectual property and outputs
We and our licensors retain rights in the Service software, interface and underlying technology. You receive a non-exclusive right to use the ordered Service during the applicable term. No right to models, model weights, source code or another customer’s data is granted. Mandatory interoperability, lawful research and other non-excludable rights remain unaffected.
As between the parties, you may use the outputs lawfully for your professional or personal purposes; we assign to you any transferable rights we hold in outputs generated specifically for you. This does not create copyright where the law recognises none, transfer third-party rights or guarantee unique outputs. Similar questions can produce similar answers for others. Cited works, databases and source documents retain their own rights; a citation is not a licence to reproduce an entire work.
8. Charges, renewal and taxes
The selected plan, total price, billing period, usage limits and any seat minimum appear before purchase. Standard prices are in EUR and include applicable taxes as displayed. Standard team plans require at least three seats. Monthly usage allowances reset by calendar month in UTC and do not roll over; an annual billing period does not convert them into one annual allowance. An accepted enterprise Order may specify a different model.
A subscription renews for the selected monthly or annual period unless cancelled before the next renewal. Cancel through Manage subscription, or contact us if that control is unavailable. Cancellation of renewal leaves access until the paid period ends and does not itself delete saved work. We will give at least 30 days’ notice of a price increase, which applies no earlier than the next renewal after the notice period. You can end renewal before it takes effect. New paid features require an accepted charge; silence is not a purchase.
If payment fails, we will notify you and give a reasonable opportunity to resolve it before restricting paid features, unless fraud or another urgent risk requires earlier action. No charge is payable twice for the same billing obligation. Statutory refunds and remedies are unaffected.
9. Service standard and correction
We will provide the Service with reasonable professional care and skill and materially in accordance with the ordered functions. We will investigate reported reproducible service defects and provide a correction or reasonable workaround within a period appropriate to their impact. A specific uptime commitment, recovery objective, support response time or service credit applies only if included in an accepted service-level schedule.
AI generation is probabilistic. Outputs may contain errors, omissions or fabricated references; source availability can change. Review the relevant passage, date, jurisdiction and evidential basis before relying on an output. We do not warrant that every output is correct, unique or suitable for an uncommunicated purpose. These limitations do not exclude our express contractual obligations, reasonable care, or mandatory remedies. The Customer retains responsibility for professional decisions and legally required human oversight.
10. Suspension, prohibited conduct and termination
Do not unlawfully disclose data, infringe rights, distribute malicious code, bypass access or usage controls, attack the Service, or use it for a prohibited AI practice. Report suspected unlawful hosted material to contact@veritasask.com with the location or identifier, reasons and supporting information. Do not send sensitive case content in an initial public-channel report. We will assess notices and explain any restriction and available review route, subject to lawful confidentiality and security limits.
We may restrict only the affected access where reasonably necessary to address material breach, unlawful use, non-payment after notice or a serious security risk. We will give reasons and an opportunity to respond before restriction where practicable, or promptly afterwards if urgent action was necessary. Restrictions must be proportionate and reviewed when the cause is resolved; they are not a means of preventing a lawful data export.
Either party may terminate for a material breach not remedied within 30 days after a sufficiently detailed notice. Immediate termination is available for an irremediable breach or where continued performance would be unlawful. You may cancel renewal at any time. If we discontinue a paid Service without your breach, we give at least 30 days’ notice where possible and refund prepaid fees for the unused discontinued period. An affected party may terminate after a force-majeure interruption exceeds 30 consecutive days, with the same unused-period refund.
11. Export, switching and deletion
You retain access to available exports while your account is active. Cancelling a paid plan is different from deleting the account. The Export and Switching document defines exportable information, formats, switching assistance and retrieval periods. Where Chapter VI of the EU Data Act applies, its mandatory switching rights take precedence over any conflicting contract term; a renewal period does not remove them.
Following termination, we provide the applicable retrieval opportunity unless you request earlier deletion or law requires otherwise. Under a DPA, the Customer chooses return or deletion of personal data; subsequent deletion of copies follows the agreed schedule, except legally required retention. We restrict any lawfully retained data to its permitted purpose. Do not treat removal from the active application as proof that every backup or supplier copy has already been erased.
12. Business liability and third-party claims
For Customers acting in business or an institutional capacity, each party’s aggregate liability arising from the Agreement in a rolling 12-month period is limited to the greater of EUR 1,000 and the fees paid or payable for the Service in that period. Liability for breach of confidentiality, personal-data processing obligations or infringement of the other party’s intellectual property is subject instead to twice that amount. The limits are aggregate for related claims and cannot be avoided by relabelling a claim; the same loss is not recoverable twice.
These limits do not apply to fraud, intentional misconduct, gross negligence, death or personal injury, liability that cannot lawfully be limited, or the Customer’s obligation to pay properly due fees. They do not restrict a data subject’s rights or a regulator’s powers, including under Article 82 GDPR. Neither party is liable for purely indirect or remote loss that was not reasonably foreseeable; reasonable direct costs of restoring affected data or responding to a breach are not excluded merely because they involve a third party. A negotiated institutional agreement may replace the commercial caps expressly.
A party that receives a third-party claim relating to the other party’s breach must notify it promptly, preserve relevant evidence, cooperate reasonably and avoid admitting liability or settling at the other’s expense without consent. Neither party receives an unlimited automatic indemnity. Responsibility follows proven breach, causation and the applicable liability rules. We may obtain rights, modify affected functionality without materially reducing the ordered service, or terminate the affected part with an unused-period refund if a substantiated IP claim cannot reasonably be resolved.
13. Consumer protections and complaints
The business liability limits in section 12 do not apply to consumers. Consumers retain mandatory rights concerning conformity, updates, correction, price reduction, termination, damages and unfair terms. Tell us about defects or billing disputes at contact@veritasask.com; we will handle them within the applicable statutory time and without imposing a barrier to statutory remedies.
Consumers generally have 14 days from conclusion of a distance service contract to withdraw by an unequivocal statement sent to our email or registered office. You may use: “I withdraw from my Veritas Ask service contract; name; account email; order date; date of withdrawal; signature if on paper.” Immediate access alone does not waive this right. A proportionate charge for service already provided is due only if all legal conditions, including an express request and required information, were satisfied. Any applicable refund is made within 14 days of notice, normally by the original payment method without a refund fee.
You may seek alternative dispute resolution through the Czech Trade Inspection Authority, https://coi.gov.cz/, or an applicable competent body. The former EU online dispute-resolution platform is not used. You may bring proceedings in a court available under mandatory consumer jurisdiction rules. These Terms do not remove the mandatory protection of your country of habitual residence.
14. Changes, events outside control and notices
We may make operational improvements consistent with the ordered scope. For material adverse contractual changes, we give at least 30 days’ durable notice describing the change and the right to end the affected service before it applies. For fixed paid periods the change ordinarily applies at renewal; mandatory legal or urgent security changes may require earlier action, but statutory rights and any right to an unused-period refund remain. Updating this website alone does not retrospectively replace previously accepted terms or negotiated commitments.
A party is excused only to the extent an event beyond its reasonable control actually prevents performance, after reasonable mitigation and prompt notice. Payment for service already supplied, confidentiality, data protection and reasonable security measures are not generally excused. Changes in commercial preference or ordinary resource shortages are not automatically force majeure.
Contractual notices go to the Customer’s designated account or contractual email and our contact email, or the addresses stated in the Order. Keep notice details current. Assignment must not reduce the other party’s rights; transfer of a contract outside a business reorganisation requires consent, not unreasonably withheld. If a term is invalid, the remaining terms continue where legally possible. Failure to enforce once is not waiver. Accrued payments, confidentiality, IP, liability, dispute provisions and necessary data-return/deletion duties survive termination.
15. Governing law, disputes and version
Czech law governs, excluding its conflict rules to the extent permitted. Business disputes fall to the competent Czech courts unless a signed negotiated agreement provides otherwise. Mandatory consumer jurisdiction and protection are preserved. UK-specific mandatory requirements are addressed separately in the UK Addendum; it does not silently substitute English law.
This edition is dated 29 September 2026 and applies to new acceptances of this version. Existing contracts remain subject to their accepted terms until lawfully changed.
